1. Agreement to Terms

By accessing or using EmLedger ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users, including visitors, contributors, and registered users.

2. Description of Service

EmLedger provides cloud-based accounting software with multi-entity support and entity-based pricing. Our Service includes comprehensive financial management tools such as:

  • Invoicing and receivables management
  • Bill and payables management
  • Bank reconciliation and transaction management
  • Inventory management across multiple locations
  • Comprehensive financial reporting suite
  • Budgeting and forecasting
  • Multi-entity management and consolidation
  • Tax compliance and 1099 tracking
  • User access control and permissions
  • Banking and payment integrations

3. User Accounts

3.1 Account Creation

To use our Service, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the authority to enter into a binding contract
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials and password
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized account access

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks. Termination is effective immediately upon notice. You may cancel your account at any time by contacting us or through your account settings.

4. Subscription and Billing

4.1 Pricing Tiers

EmLedger offers four pricing tiers based on number of entities. All tiers include all features:

  • Solo: $49/month (1-3 entities)
  • Growth: $99/month (4-10 entities)
  • Scale: $199/month (11-25 entities)
  • Unlimited: $349/month (26+ entities)

All tiers include unlimited users, unlimited transactions, all 140+ features, and bank connections.

4.2 Early Access Pricing

Early access members receive a lifetime 40% discount on their chosen tier. This discount is:

  • Locked in forever - guaranteed for the lifetime of the account
  • Applied automatically to the chosen tier
  • Maintained even if standard pricing increases in the future
  • Non-transferable to other accounts or users
  • Subject to a 14-day free trial before any charges begin

4.3 Billing and Automatic Renewal

  • Subscriptions are billed monthly or annually in advance
  • Payment is due at the start of each billing period
  • We accept major credit cards and other payment methods
  • Failure to pay may result in service suspension or termination
  • All fees are in USD and non-refundable except as provided in Section 5 or required by law
  • Taxes are additional where applicable

Automatic Renewal Notice: Your subscription will automatically renew at the end of each billing period at the then-current rate for your tier (or at your locked-in early access rate, if applicable). You will be charged using your payment method on file unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us at support@emledger.com.

4.4 Tier Changes

  • Upgrades take effect immediately with prorated billing
  • Downgrades take effect at the start of the next billing cycle
  • Early access discounts remain regardless of tier changes
  • Upgrades/downgrades can be made at any time

5. Cancellation and Refunds

5.1 Cancellation

  • You may cancel your subscription at any time through your account settings or by contacting support
  • No cancellation fees apply
  • Service continues until the end of the current paid billing period
  • Upon cancellation, your data remains accessible for export for 90 days

5.2 Refunds

  • Trial Period: Early access members enjoy a 14-day free trial; no charge if cancelled during trial
  • Service Outages: Prorated refunds or credits may be provided at our discretion for service outages exceeding 24 consecutive hours
  • Billing Errors: We will refund any overcharges or billing errors within 60 days of notification
  • State Law Requirements: Refunds will be provided as required by applicable state law
  • General Policy: Except as stated above, fees are non-refundable

6. User Data and Content

6.1 Your Data Ownership

You retain all rights to data you input into EmLedger. We claim no ownership over your financial data, reports, customer lists, vendor information, or other content. You remain the sole owner and controller of your data.

6.2 Data License

You grant us a limited, non-exclusive license to store, process, secure, and display your data solely to provide the Service to you and authorized users on your account.

6.3 Data Export

You may export your data at any time in common formats:

  • CSV (Excel-compatible spreadsheet format)
  • PDF (for reports and documents)

6.4 Data Backup and Recovery

While we perform daily automated backups with encryption, you are responsible for maintaining your own backups of critical data. In case of data loss, we will assist with recovery if available within our backup retention period (30-90 days).

7. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or data
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to compete with EmLedger or build a competing product
  • Share your account credentials with unauthorized users
  • Exceed reasonable usage limits or overload our infrastructure
  • Harass, threaten, or harm other users
  • Upload unlicensed or counterfeit content

8. Intellectual Property Rights

The Service, including all software, design, text, graphics, logos, images, and functionality, is owned by EmLedger and protected by copyright, trademark, patent, and other intellectual property laws. You may not reproduce, modify, distribute, or transmit any portion of the Service without express written permission.

9. Service Availability and Uptime

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime, data loss, or service interruptions beyond our reasonable control
  • Emergency maintenance may occur without advance notice

Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, civil unrest, power outages, internet service disruptions, or failures of third-party service providers.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be error-free or uninterrupted
  • The Service will meet your specific requirements or expectations
  • All data will be secure or protected from loss or corruption
  • All features will remain available or unchanged

Important: EmLedger is accounting software, not a substitute for professional accounting, tax, or legal advice. You are solely responsible for ensuring compliance with applicable tax laws, accounting standards, and regulations. We recommend consulting with a qualified accountant or tax professional regarding your use of the software.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EmLedger SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunity
  • Loss of data or corruption of data
  • Loss of goodwill or reputation
  • Business interruption
  • Costs of substitute goods or services

Our total aggregate liability for any claims arising from the Service shall not exceed the total amount you paid us in the 12 months immediately preceding the claim.

Exceptions: The limitations above do not apply to: (a) our gross negligence or willful misconduct; (b) our breach of confidentiality obligations regarding your data; or (c) any liability that cannot be limited under applicable law.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless EmLedger, its officers, directors, employees, agents, and successors from any third-party claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your infringement of third-party intellectual property or privacy rights
  • Your violation of applicable laws or regulations
  • Content you upload that violates third-party rights

This indemnification obligation does not apply to claims arising from our negligence, willful misconduct, or breach of these Terms.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance (or earlier for changes required by law). Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not accept the changes, you may cancel your subscription before the changes take effect.

14. Third-Party Services and Integrations

The Service integrates with third-party services including:

  • Teller for bank account connections and transaction import
  • Stripe for payment processing and subscription management
  • Supabase for database and authentication services
  • Vercel for hosting and infrastructure
  • Resend for transactional email delivery
  • Sentry for error tracking and performance monitoring

We are not responsible for third-party services. Your use of third-party services is governed by their respective terms and privacy policies. We recommend reviewing their terms before connecting your accounts.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

16. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@emledger.com. We will work in good faith to resolve any dispute within 30 days. If informal resolution is unsuccessful, disputes shall be resolved exclusively in the state or federal courts located in Delaware as specified in Section 15.

17. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal, the remaining provisions shall remain in full force and effect. We will modify the invalid provision to the minimum extent necessary to make it valid.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and EmLedger regarding the Service and supersede all prior negotiations, understandings, and agreements.

20. Waiver
